Experience
Justin has experience in a wide range of commercial and resources transactions including:
- advising Australian publicly listed mining and resources companies on:
- private M&A transactions
- equity capital fundraising and general project financing requirements
- general ASX compliance and regulatory matters
- drafting and advising upon terms of mining contracts, supply agreements, engineering and construction contracts for both brownfield and greenfield developments
- drafting and negotiating joint venture and farmin agreements across both the mining and oil and gas industries
- advising proponents of upstream oil and gas projects
- due diligence in relation to a number of domestic and foreign mining acquisitions, including foreign acquisition approvals
- advising clients on major projects developed under State Agreements and their ongoing administration

- Newmont Mining Corporation on the $1.1 billion acquisition of AngloGold Ashanti Australia Limited’s 33.3% interest in the Boddington Gold Mine Joint Venture
- Brockman Resources Ltd on the $929.6 million takeover offer from Wah Nam International and in its negotiations with Fortescue Metals Group regarding rail, port, shipping and marketing arrangements
- BHP Billiton Nickel West Pty Ltd on the entry into of a nickel farmin and joint venture agreement with St George Mining
- Rio Tinto on an iron ore sales agreement with Iron Ore Holdings Ltd
- Cashmere Iron Ltd on a port development and access agreement with the Port of Esperance
- Jinchuan Group Limited on its bid for an Australian greenfields copper project
- Gold Fields Limited on its participation in the Sino Gold Fields Alliance Agreement with Sino Gold which is exploring for large gold deposits in China
- Universal Resources Ltd on its joint venture arrangements with Xstrata for the Roseby copper project in Queensland and on general corporate and ASX-related matters
- Heron Resources Ltd on the acquisition of the A1 Gold Mine and its joint venture arrangements with Ningbo Shanshan Co Ltd with respect to Heron’s Yerilla Nickel Cobalt Project
- Windimurra Vanadium Ltd on the redevelopment of the Windimurra vanadium mine and on general corporate and ASX related matters
- Consolidated Minerals Ltd on its nickel offtake agreements with BHPB Billiton
- Royal Gold Inc. on the acquisition of Barrick Gold Corporation’s Australian royalty portfolio
- Pohang Iron & Steel Co. Ltd (POSCO) on the negotiation of agreements for, and planning of, the Mining Area C iron ore development in Western Australia including the negotiation of infrastructure sharing agreements and iron ore sale agreements
- Financiers of Hancock Prospecting’s interest in the Hope Downs Iron Ore mine in the Pilbara region of Western Australia, including reviewing and advising on all project documentation
Oil & gas
- Santos Ltd in relation to its divestment of a 60% interest in the Petrel, Tern & Frigate gas fields to GDF Suez for $450 million.
- Santos Limited on the $1.3 billion selldown of interests in the $16 billion GLNG project to Total and KOGAS, with concurrent $120 billion offtake commitments
- Apache Energy on its investment into and joint development of the Wheatstone LNG Project with Chevron and Kufpec
- Apache Energy on the restructure of its offshore petroleum interests, including the acquisition of an additional interest in the Novara and Coniston oilfields
- Inpex on its proposed offshore LNG project in the Browse Basin, including the drafting and negotiation of the upstream joint venture and gas marketing agreements
- BHP Billiton Petroleum (Australia) Pty Ltd on a gas pipeline sale agreement and associated access and gas transportation agreements
- Epic Energy on its gas pipeline operations around Australia, including the terms of various gas transportation agreements and the recent lease of the Burrup Extension Pipeline to DBP
- Crosslands Resources Ltd on its natural gas pipeline from the Jack Hills iron ore mine
Professional background
Justin holds a Bachelor of Laws from Murdoch University and a Bachelor of Arts from the University of Western Australia.
He was the primary lecturer of the mining and resources law unit at Murdoch University School of Law in 2002 and 2004. He has also contributed to or edited several items in major legal publications including Butterworths’ Joint Ventures and Shareholders’ Agreements (Australian section).
In 2005, Justin completed an in-house secondment to Epic Energy.
He is a member of the Australian Mining & Petroleum Law Association and has authored and presented a paper at their annual conference on legal issues relating to joint ventures.
He is named as a leading energy & resources lawyer in the current edition of Best Lawyers.
