Mergers and Acquisitions
Rebecca also has a wealth of takeovers, schemes of arrangement and other acquisition experience, having advised on deals including:
- Seven’s merger with WesTrac
- Auckland Airport’s acquisition of an interest in the Cairns and Mackay Airports
- the back-to-back acquisition by Fairfax and Macquarie Media of Southern Cross Broadcasting
- Coeur d’Alene Mines Corporation’s merger with Bolnisi Gold and Palmarejo Silver & Gold to create the world’s largest silver company
- Fairfax Media’s merger with Rural Press
- Rinker’s defence of the bid by CEMEX
- Metcash’s concurrent schemes of arrangement and takeover bid for Foodland
- Centro’s bid for AMP Shopping Centre Trust
- Burns Philp’s bid for Goodman Fielder
- Adelaide Brighton’s defence of the bid by Boral
- Wesfarmers’ bid for Howard Smith
Equity Capital Markets
Rebecca:
- advised Auckland Airport on its accelerated rights offer structure – the first time an NZX-listed entity had conducted such an offer
- advised Centro on its stabilisation arrangements including the debt-to-equity hybrid
- advised Elders on its recapitalisation
- advised Goodman Fielder on its IPO – the then-largest IPO in Australia in the past 5 years
- developed the “circular re-offer” structure for listed trust rights issues
- has advised on numerous hybrids, including the Fairfax SPS, the Metcash CULS and the Seven Network TELYS3
- acted for issuers on several IPOs including Promina and Transonic Travel

Rebecca has First Class Honours in Law and a Bachelor of Commerce from the University of Western Australia and a Bachelor of Civil Law from the University of Oxford.
